This is a legal document and creates an Agreement between you and Nikrad Hypersystems ("NIKRAD") that is founded by Dr. Behnoud K. Lou (the author, producer and the trademark owner) for the licensing and use of the "Nikrad Enterprise System" software product ("SOFTWARE") which includes "Nikrad Enterprise Platform", "Nikrad Enterprise Dynamics", "Nikrad Enterprise Gateway", framework and utilities.
By using or purchasing any tool or service presented by this site or viewing any element of content present on this site, you are agreeing to be bound by the terms of this agreement. If you do not agree with the terms of this agreement, please do not access or use this site and/or the services or any information contained on the site and also delete all copies of the Software you may have.
You accept responsibility for any network usage costs or any other costs, incurred by using the software.
Nikrad grants you, under this agreement, a license to use the software for a definite period of time. The license granted herein is non-exclusive and its scope is dependent on which modules you have granted for.
License for Nikrad Enterprise "Platform Fundaments", additional User Access License ("UAL"), and additional modules such as Enterprise "Platform Supplements", "Nikrad Enterprise Dynamics", "Nikrad Enterprise Gateway" must be purchased from nikrad official website (www.nikrad.com).
Only Licensed and Registered users can use the software and customize it as their needs.
Each account on www.nikrad.com is licensed to be used for the specified registered institute (Company, Organization or Workgroup) with one primary platform. You may not use your account information to activate additional platforms that are not installed to use as your primary. Each platform will be connected to a database with unique identifier. The database identifier will be registered automatically on nikrad web server while activating additional modules.
All accounts are limited to register and activate up to a specified number of independent databases that the second or third spaces are preserved as backup.
You as a user or partner may not decompile, reverse engineer, disassemble or otherwise reduce the software to a human perceivable form. You may not copy, reproduce, distribute, lease or sell the software. You are just permitted to customize offered source file such as "jsp" or "html" files to provide your needs. You are also permitted to create and develop your own server pages or utilities to extend the platform. Publication or distributing of the software and/or contents of this site such as articles, logos, icons and etc with or without modification is strictly prohibited.
Nikrad and its founder Dr. Behnoud K. Lou own all intellectual property rights of the software Product, throughout the world. Please note that the software product may contain third-party software. With the license, you will be granted, the non-exclusive right to use the software, which shall constitute no sale. Nikrad and its licensors retain ownership of all copies of the software and reserves all rights not expressly granted to you under this license agreement.
You agree to indemnify and hold Nikrad, its parent, partner, or subsidiary organizations, officers, agents and employees, harmless from any claim, loss, demand, or damage, including reasonable attorneys' fees, asserted by any third party due to or arising out of your breach of any provision of this agreement, your negligent or wrongful acts, and/or your violation of any applicable laws.
The software is provided on an "as is" basis without warranty of any kind, expressed or implied, including but not limited to the implied warranties of merchantability and suitability for a particular purpose. The person using the software bears all risk as to the quality and performance of the software. Nikrad will not be liable for any special, incidental, consequential, indirect or similar damages due to loss of data or any other reason, even if nikrad or an agent of nikrad has been advised of the possibility of such damages. In no event nikrad will be liable for costs of any damages, exceeding the price paid for the software license, regardless of the form of the claim.
You acknowledge that you have read this agreement, understood it, and agreed to be bound by its terms.
